Bautista v. Barrios

A.M. No. 258 · 1963-12-21 · J. BENGZON, C.J, J.: · Primary: Ethics
REITERATION

Facts

The Antecedents: Rufina Bautista engaged the services of Atty. Benjamin O. Barrios to draft an extra-judicial deed of partition concerning conjugal properties of Federico Rovero and his deceased wife, Maria Bautista. The deed was prepared and signed by the parties. Procedural History: When Federico Rovero refused to comply with the terms of the deed, Rufina Bautista sought to enforce it by filing a civil case (Civil Case No. K-689, Capiz Court of First Instance). She requested Atty. Barrios to represent her in this enforcement action. The Petition: Rufina Bautista filed a complaint against Atty. Barrios for malpractice. She alleged that after drafting the deed of partition as her attorney, he refused to represent her in enforcing it and, instead, appeared as counsel for Federico Rovero, opposing her rights under the deed.

Issue(s)

Whether Atty. Barrios committed malpractice by representing conflicting interests after drafting a deed of partition for Rufina Bautista and subsequently appearing for the opposing party in an enforcement action. Whether Atty. Barrios breached his duty of loyalty to Rufina Bautista.

Ruling

The Court found Atty. Barrios guilty of malpractice and suspended him from the practice of law for two years. The Court agreed with the Solicitor General's findings against the respondent.

Ratio Decidendi

On Issue 1: The Court found that Atty. Barrios committed malpractice. He admitted to preparing the deed of partition upon the joint request of Federico Rovero, Rufina Bautista, and Francisco Bautista. When Rufina Bautista sought to enforce the deed, she engaged Atty. Barrios, who refused to represent her and instead appeared for Federico Rovero, who was resisting compliance with the deed. This conduct created a clear conflict of interest. Furthermore, even if Barrios was employed by both parties to draft the partition, it was doubtful he could appear for one against the other in subsequent litigation. His defense of Rovero involved raising issues that violated Rufina's confidence, such as alleging undisclosed modifications known to Rufina at the time of execution. On Issue 2: The Court determined that Atty. Barrios breached his duty of loyalty to Rufina Bautista. By refusing to represent her in enforcing the deed he drafted and subsequently appearing for the opposing party, Rovero, who sought to avoid compliance, Barrios acted against the interests of his former client. His defense of Rovero, which involved asserting that the deed was subject to modifications known to Rufina, directly contradicted his role as her attorney in drafting the partition. The inconsistent positions and flimsy arguments presented by Barrios did not impress the Court with his good faith, indicating a failure to uphold his fiduciary duty.

Main Doctrine

An attorney who undertakes to draft a deed of partition for a client and subsequently refuses to represent that client in enforcing the deed, instead appearing for the opposing party and arguing against the client's rights, commits malpractice and a breach of professional ethics. Such conduct constitutes a conflict of interest and a violation of the duty of loyalty owed to the client, warranting disciplinary action.
