Facts

The Antecedents: BA-Finance Corporation (BA-Finance) granted Miller Offset Press, Inc. (Miller) a credit line facility. Miller assigned trade receivables to BA-Finance, receiving four checks from BA-Finance payable to "Order of Miller Offset Press, Inc." with the notation "For Payee’s Account Only." These checks were deposited by Ching Uy Seng, corporate secretary of Miller, into a joint personal account of Ching Uy Seng and Uy Chung Guan Seng at Associated Citizens Bank (Associated Bank). Associated Bank stamped the checks with a guarantee and cleared them with the drawee bank, Bank of America, which paid the proceeds. Miller failed to deliver the proceeds of the assigned receivables to BA-Finance. Procedural History: BA-Finance filed a collection case against Miller and its representatives, later amending the complaint to implead Bank of America for allegedly allowing encashment by unauthorized persons. Bank of America filed a third-party complaint against Associated Bank. The Regional Trial Court (RTC) ruled that Bank of America was liable to BA-Finance and ordered Associated Bank to reimburse Bank of America. The Court of Appeals affirmed with modifications, holding Bank of America liable to BA-Finance, Associated Bank liable to reimburse Bank of America, and Ching Uy Seng and/or Uy Chung Guan Seng liable to pay Associated Bank. The award of attorney's fees was deleted. The Petition: Bank of America and Associated Bank filed petitions for review on certiorari, questioning their respective liabilities.

Ruling

The petitions are unmeritorious. The Court affirmed the decision of the Court of Appeals with a modification regarding the total amount of the checks. Bank of America is ordered to pay BA-Finance the amount of ₱741,227.78, with legal interest. Associated Citizens Bank is ordered to reimburse Bank of America the same amount. Ching Uy Seng and/or Uy Chung Guan Seng are also ordered to pay Associated Citizens Bank the same amount.

Ratio Decidendi

On the liability of Bank of America to BA-Finance: The Court held that Bank of America, as the drawee bank, is under strict liability to pay the check only to the payee or the payee's order. The four checks were crossed and issued "For Payee’s Account Only," indicating the drawer's intent for deposit only by Miller Offset Press, Inc. When Bank of America paid the checks deposited into the personal account of Ching Uy Seng, it violated the drawer's instructions. Therefore, Bank of America is liable for the amount charged to BA-Finance's account. The Court reiterated the principle that a drawee bank must charge the drawer's account only for properly payable items, and any deviation makes the drawee liable for the amount charged. On the liability of Associated Bank to reimburse Bank of America: The Court found Associated Bank, as the collecting bank, liable. By stamping the checks with "all prior endorsements and/or lack of endorsements guaranteed," Associated Bank assumed the warranty of an endorser under Section 66 of the Negotiable Instruments Law. This warranty includes that the instrument is genuine and that it has good title. Furthermore, Associated Bank was negligent in disregarding banking rules by allowing the deposit of checks payable to a corporation into the personal account of an individual, who was not the named payee. This negligence, coupled with its warranty, makes it liable to reimburse Bank of America. On the liability of Ching Uy Seng and/or Uy Chung Guan Seng to Associated Bank: The Court affirmed the appellate court's ruling that Ching Uy Seng and/or Uy Chung Guan Seng should reimburse Associated Bank. Since they received the proceeds of the checks deposited into their personal joint account, they are obliged to reimburse Associated Bank for the amount it has to pay. This is based on the principle that no person should be allowed to unjustly enrich himself at the expense of another. The Court quoted the appellate court's reasoning that those who received the proceeds of the checks should be obliged to reimburse the bank.

Main Doctrine

A drawee bank is liable for paying a crossed check to a person other than the named payee, as it violates the drawer's instructions. A collecting bank that stamps "all prior endorsements and/or lack of endorsements guaranteed" assumes the warranty of an endorser and is liable for losses arising from the falsity of its representation, especially when it negligently allows deposit into a personal account of checks payable to a corporation.
