Facts

The Antecedents: Complainant Arcatomy S. Guarin was hired by OneCard Company, Inc. in 2004 and resigned effective August 11, 2008. On November 27, 2008, respondent Atty. Christine A.C. Limpin, Corporate Secretary of Legacy Card, Inc. (LCI), filed a General Information Sheet (GIS) with the SEC for LCI, identifying Guarin as Chairman of the Board of Directors (BOD) and President. LCI subsequently applied for voluntary dissolution on December 18, 2008. Procedural History: Guarin filed a disbarment complaint against Atty. Limpin, alleging she violated Canon 1 and Rule 1.01 of the Code of Professional Responsibility (CPR) by knowingly listing him as a stockholder, Chairman, and President of LCI despite his resignation and lack of any shares or election to such positions. Atty. Limpin admitted filing the GIS but claimed it was provisional and made in good faith, based on information from a March 3, 2008 BOD meeting. She asserted Guarin knew he was a stockholder and had agreed to sign a Deed of Assignment. She presented Secretary's Certificates with Guarin's signature to show LCI held board meetings. She also noted pending criminal complaints where Guarin raised the GIS as spurious. The Integrated Bar of the Philippines Commission on Bar Discipline (IBP CBD) found Atty. Limpin violated Canon 1, Rules 1.01 and 1.02 of the CPR and recommended a three-month suspension. The IBP Board of Governors adopted this report and recommendation. The Petition: The Supreme Court reviewed the case based on the IBP's findings and recommendation.

Ratio Decidendi

On Issue 1: The Court affirmed the IBP's finding that Atty. Limpin violated Canon 1, Rule 1.01 of the CPR. It was undisputed that Atty. Limpin filed and certified in the GIS that Guarin was a stockholder of LCI. The Court found no indication that Guarin held any shares, making him ineligible to be a member of the BOD or President. Atty. Limpin's claim of good faith was belied by her certification of due verification. Her belief that Guarin would sign a Deed of Assignment was inconsequential as he never signed it, and there was no submission supporting his alleged stockholder status. Therefore, in filing a GIS with false information, Atty. Limpin committed an infraction contrary to her oath as a lawyer. On Issue 2: The Court agreed with the IBP that Atty. Limpin transgressed Rule 1.02 of the CPR. She allowed herself to be swayed by the business practice of having Mr. de los Angeles appoint BOD members and officers, despite the rules enunciated in the Corporation Code regarding the election of such officers. This conduct indicated a failure to uphold the integrity and dignity of the legal profession by knowingly participating in an irregular procedure. The Court noted that the Secretary's Certificates presented by Atty. Limpin, bearing Guarin's signature, merely showed his assent to be a signatory of bank accounts and did not prove he was a stockholder or elected officer.
